VoteSure Terms of Service
Please read these Terms of Service (together with VoteSure's Privacy Policy at https://votesure.org/privacy-policy, the "Terms of Service") fully before using https://votesure.org (the "Site") and the services, features, content, and applications offered by Afrotech Laboratories Ltd ("we," "us," "Afrotech Laboratories," or "VoteSure") (together with the Site, the "Services"). These Terms of Service are the legally binding agreement governing your use of the Site and the Services.
1. Acceptance of Terms
By registering for or using the Services in any way — including browsing the Site or using the Services to create or run an election — you agree to these Terms of Service and to any other operating rules, policies, or procedures VoteSure publishes on the Site from time to time, each incorporated here by reference and each subject to change without notice. Certain Services may carry additional terms specified separately; using those Services means you accept those additional terms too. These Terms apply to every user of the Services, including anyone who contributes content, information, or other materials, whether registered or not.
2. Modification
VoteSure may modify or replace these Terms of Service, or change, suspend, or discontinue any part of the Services (including any feature, dataset, or content), at any time, by posting notice on the Site or notifying you through the Services or by email. VoteSure may also limit certain features or restrict your access without notice or liability. Checking these Terms periodically for changes is your responsibility. Continuing to use the Services after a change is posted means you accept it.
3. Eligibility
You represent that you are at least 13 years of age. If you are under 13, you may not use the Services under any circumstances. VoteSure may, at its discretion, refuse the Services to any person or entity and may change its eligibility criteria at any time. You are solely responsible for ensuring your use of the Services complies with all laws, rules, and regulations that apply to you; access is revoked wherever these Terms or use of the Services would be unlawful. The Services are offered solely for your own use, not for the benefit of any third party.
4. Registration
Some features are available without an account, but full access requires registering with VoteSure (creating an "Account"). Registration requires an accurate email address and an organization name. You're responsible for keeping the email address on your Account current. Regarding organization names and account use, you shall not: (1) use a name with intent to impersonate another person or entity; (2) use a name that infringes another party's rights without authorization; (3) use a name that is offensive, vulgar, or obscene; (4) create or operate multiple accounts for the same organization with intent to abuse the free-voter promotion described in §20; or (5) create or launch multiple elections with direct or indirect intent to abuse that promotion.
5. Account Security
You're solely responsible for all activity on your Account and for keeping it secure. You may not use another party's Account without permission. Notify us immediately of any breach of security or unauthorized use of your Account. Never publish, share, or post your Account's login credentials.
6. VoteSure Services
The Services let you either (i) create and administer an election or competition, or (ii) vote in an election or competition, as configured by the institution that created it.
7. Content
Definition. "Content" means, without limitation, elections, ballots, candidates, voter data, design elements, candidate photos, election results, reports, written text, images, data, software, and interactive features generated, provided, or made accessible on or through the Services.
User Content. All Content added, uploaded, submitted, or posted to the Services by users ("User Content") is the sole responsibility of the user who submitted it. You access any Content through the Services at your own risk, and you're solely responsible for any resulting damage or loss. Deleted User Content is removed from the Services.
VoteSure Content. Content provided by VoteSure or its partners is protected by copyright, trademark, and other applicable rights. You must preserve all copyright and proprietary notices in any Content you access through the Services.
Use License. VoteSure grants each user a worldwide, non-exclusive, non-sublicensable, non-transferable license to use Content solely for personal or institutional election-related use as part of the Services. Reproduction, distribution, or storage of Content for any other purpose is prohibited without prior written permission. For commercial or high-volume use beyond running your own institution's elections, contact us to discuss a custom plan.
License Grants.
- To VoteSure: by submitting User Content, you grant VoteSure a worldwide, non-exclusive, royalty-free, sublicensable license to use, host, reproduce, and display that Content solely as needed to operate, maintain, and improve the Services on your behalf, including generating your ballots, reports, and communications. This is narrower than a general marketing-use license: VoteSure does not use an institution's election Content (voter data, ballots, results) to promote VoteSure without that institution's separate, explicit consent.
- To other users: you grant other authorized users of your election (e.g., your own team members, voters interacting with your ballot) a non-exclusive license to access your Content as necessary to participate in or administer the election, per the roles and permissions you configure.
- No infringement: you represent that you hold all rights necessary to grant these licenses without infringing any third party's rights, including privacy, publicity, copyright, or contract rights.
Availability of Content. VoteSure doesn't guarantee any Content will remain available and has no obligation to monitor Content on the Site. VoteSure may remove, edit, or restrict Content at its discretion, at any time, for any reason or no reason, including in response to a legal claim or a suspected Terms violation.
The Services require JavaScript and modern browser support; VoteSure does not guarantee correct operation on unsupported browsers or devices.
8. Rules of Conduct
You agree not to use the Services for any purpose prohibited by these Terms, and you're responsible for all activity connected with your use. You (and anyone acting through your Account) shall not upload, post, or distribute Content that: infringes any patent, trademark, trade secret, copyright, or right of publicity, or otherwise violates the law; is unlawful, threatening, abusive, harassing, defamatory, fraudulent, or invasive of privacy; constitutes unsolicited advertising or spam; contains malicious code intended to disrupt, damage, or gain unauthorized access to any system; impersonates any person or entity, including VoteSure staff; includes anyone's government ID or sensitive financial information beyond what the Services are specifically designed to collect for voter verification; or is otherwise inappropriate at VoteSure's discretion.
You shall not: impose an unreasonable load on VoteSure's infrastructure; interfere with the proper functioning of the Services; bypass any access-control or security measure; run automated scraping, crawling, or bot activity against the Services; or otherwise violate VoteSure's guidelines and policies. You shall not reverse-engineer, decompile, or attempt to derive the source code of the Services, except where applicable law specifically permits it; nor create derivative works of the Services; nor resell, rent, or transfer rights granted under these Terms without VoteSure's written consent.
VoteSure reserves the right to access, preserve, and disclose information as reasonably necessary to comply with law or legal process, enforce these Terms, investigate fraud or security issues, respond to support requests, or protect the rights, property, or safety of VoteSure, its users, and the public.
9. Third-Party Services
The Services may link to, or integrate with, third-party services (for example, SMS delivery and payment processing providers). VoteSure is not responsible for the content, functionality, or practices of any third-party service, and use of such services is at your own risk. Integration with a third-party service does not imply VoteSure's endorsement of it.
10. Termination
VoteSure may terminate or suspend your access to all or part of the Services at any time, with or without cause or notice, which may result in loss of access to information associated with your Account. You may terminate your own Account by following the instructions on the Site or contacting support. Provisions that by their nature should survive termination, including ownership, warranty disclaimers, indemnification, and limitation of liability, survive.
11. Warranty Disclaimer
VoteSure has no fiduciary duty to you and no obligation to control which users access the Services, what Content they encounter, or how they use it. You release VoteSure from liability arising from Content acquired or not acquired through the Services.
THE SERVICES AND CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE. VOTESURE AND ITS DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AND PARTNERS DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED. YOUR USE OF THE SERVICES IS AT YOUR OWN RISK. Some jurisdictions do not allow limitations on implied warranties, so the foregoing may not apply to you in full.
VoteSure makes no guarantee of absolute confidentiality of any communication or information transmitted through the Services beyond the specific security measures described in the Privacy Policy and the platform's published security architecture.
12. Indemnification
You agree to defend, indemnify, and hold harmless VoteSure, Afrotech Laboratories Ltd, and their respective employees, contractors, directors, and representatives from any claims, liabilities, and expenses (including reasonable legal fees) arising from your use or misuse of the Services, your Content, your violation of these Terms, or your infringement of any third party's rights. VoteSure may assume exclusive defense of any matter otherwise subject to your indemnification, in which case you'll cooperate with VoteSure's defense.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VOTESURE AND ITS AFFILIATES, DIRECTORS, EMPLOYEES, CONTRACTORS, AND PARTNERS SHALL NOT BE LIABLE FOR ANY LOST PROFITS, DATA LOSS, OR SPECIAL, INDIRECT, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM THE SERVICES, HOWEVER CAUSED. VOTESURE'S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES SHALL NOT EXCEED THE GREATER OF (I) ONE HUNDRED US DOLLARS ($50.00), OR (II) THE TOTAL AMOUNT YOU PAID VOTESURE FOR THE ELECTION GIVING RISE TO THE CLAIM, IN THE TWELVE MONTHS PRECEDING THE CLAIM. Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so this limitation may not apply to you in full.
14. Governing Law and Jurisdiction
These Terms of Service shall be governed by and construed in accordance with the laws of Ghana. You agree that any dispute arising from or relating to the subject matter of these Terms of Service shall be governed by the exclusive jurisdiction and venue of Ghana.
15. Entire Agreement and Severability
These Terms are the entire agreement between you and VoteSure regarding the Services, superseding all prior communications or proposals on the subject. If any provision is found unenforceable, it will be limited or removed to the minimum extent necessary, and the remaining Terms stay in full force.
16. Miscellaneous
Force Majeure. VoteSure is not liable for failure to perform its obligations due to causes beyond its reasonable control, including mechanical, electronic, or communications failures.
Assignment. These Terms are personal to you and not assignable without VoteSure's written consent. VoteSure may assign or transfer its rights and obligations without your consent.
Agency. These Terms create no agency, partnership, joint venture, or employment relationship between you and VoteSure.
Notices. Notices under these Terms will be in writing and deemed given when received — personally delivered, sent by registered mail, confirmed by email, or sent by recognized courier for next-day delivery.
No Waiver. VoteSure's failure to enforce any part of these Terms doesn't waive its right to enforce it later. Any waiver must be in writing from an authorized VoteSure representative to be binding.
Headings. Section headings are for convenience only and don't affect interpretation.
17. Payment Methods
VoteSure accepts the following payment methods, processed through Paystack: Credit/Debit Card (Visa, Mastercard, and other supported card networks, billed in US Dollars) and Mobile Money (MTN Mobile Money, Telecel Cash, AirtelTigo Money, and other supported mobile money networks in Ghana, billed in Ghanaian Cedis at the rate shown at checkout).
Invoicing and Purchase Orders. VoteSure accepts payment against an invoice or purchase order from verified institutions — schools, universities, associations, cooperatives, and similar organizations — that prefer this arrangement or require it, or larger elections better suited to negotiated pricing. To arrange this, contact support@votesure.org before launching your election. Once VoteSure validates and issues an invoice, continuing to use the Services under that arrangement means you confirm that your institution has approved the purchase order and that you are authorised to commit your institution to payment. Payment is due within 30 days of invoicing or of the election's launch date, whichever is later. A service fee of 15% per month, or the maximum permitted by law, applies to overdue balances.
18. Refunds
VoteSure encourages you to fully build, brand, and test your ballot, including casting test votes through Preview mode before making any payment, precisely so you know exactly what you're launching before you pay for it. Because of this, and because launching an election immediately begins delivering the service (voter communications, hosting, and support for the live election), all payments are final once an election has been launched. You may cancel a paid subscription or negotiated plan going forward at any time, but no refund will be issued for services already rendered, except where required by law.
19. Additional Services (Add-Ons)
VoteSure may offer optional add-on products or services attached to a specific election, including delivery-channel options beyond what's included in your plan (for example, SMS delivery on an otherwise free election or combined SMS-and-Email delivery on a paid election) — pricing for these is shown at the time of selection, before you confirm. Add-ons are tied to the specific election they were purchased for and cannot be transferred to another election or account unless VoteSure states otherwise. No refunds are given for unused add-ons. Selecting an add-on means you accept its stated price and any limitations described at the time of selection.
20. Promotions
VoteSure allows an institution to run an election with 20 or fewer voters at no cost. This promotion is subject to change and is intended for genuine small elections and for evaluating the services before a real election — not for splitting a larger voter base across multiple accounts or elections to avoid payment. VoteSure reserves the right to limit the number of concurrent free elections per organization, and to terminate accounts or elections without notice if it determines the free-voter promotion or any other promotion is being abused. All promotions are subject to change without notice.
